4. Proposal, contract and sign-off
- After the initial enquiry and discovery phase, we deliver a Proposal with scope, timeline, price and conditions.
- The Proposal is valid for 30 days unless otherwise stated.
- Sign-off becomes effective upon (i) signature of the Proposal or (ii) payment of the first milestone.
- Any changes to scope ("change requests") require a written addendum and may imply revisions to timeline and price.
5. Prices and payment terms
- Prices are listed in US Dollars ($) and do not include VAT, unless expressly stated.
- Unless otherwise agreed, payment is staged: 40% on sign-off, 30% on design approval, 30% on launch.
- Invoices are issued electronically and are due in 15 days.
- Payment delays exceeding 30 days may result in the suspension of services and interest at the legal rate applicable to commercial transactions.
- Expenses with software licences, plugins, fonts, stock photography and hosting are billed at cost, with prior authorisation.
6. Timelines, revisions and delays
- Timelines are indicative initially and become binding once the Proposal is signed.
- Each deliverable (design and development) includes one round of revision. Additional rounds are billed at $80 + VAT / hour.
- Delays caused by client inaction (content not delivered, late approvals) suspend the schedule.
- If Daily More delays the launch through its own exclusive fault, a 5% penalty applies per full week, up to a 20% cap.
7. Client obligations
- Provide content, access and approvals on time.
- Ensure that the content delivered is owned or duly licensed, releasing Daily More from any third-party rights infringement.
- Comply with payment deadlines.
- Designate a single decision-making contact.
8. Intellectual property
- The client retains ownership of its content, brands and data.
- After full payment, all rights to design, code and assets developed specifically for the project are transferred to the client, except (i) Daily More's pre-existing components, (ii) licensed third-party libraries and (iii) fonts/images with their own licences.
- Daily More reserves the right to feature the work in its portfolio and reference the client commercially, except where a confidentiality agreement applies.
9. Confidentiality
Both parties agree to keep all non-public information exchanged for the project confidential, during the project and for up to 5 years after its conclusion. Specific NDAs prevail over this general clause.
10. Warranties and liability
- Daily More guarantees the correction of functional bugs for 14 days after go-live, at no charge.
- Lighthouse 90+ guarantee on mobile and desktop on key pages.
- Daily More is not liable for: third-party service outages, post-launch external attacks outside the maintenance plan, indirect losses or lost profits.
- Daily More's total liability, in any circumstances, is limited to the amount invoiced in the 12 months prior to the event.
11. Termination and cancellation
- The client may cancel the project at any time by written notice.
- Upon cancellation, work performed up to that date is invoiced, with a minimum equal to the milestone(s) already paid.
- Daily More may terminate the contract for serious breach by the client, namely payment delays exceeding 60 days, refunding only the amount relating to work not performed.
12. Force majeure
Neither party is liable for breaches arising from force-majeure events, namely natural disasters, acts of war, pandemics, generalised cyber-attacks or exceptional government measures.
13. Changes to the terms
Daily More may update these Terms. Material changes apply only to contracts signed after the update date. The version in force is always the one published on this page.
